Fertitta Entertainment, Inc – the holding company of businessmen Tilman and Paige Fertitta – will acquire US casino operator Caesars Entertainment, Inc by way of a massive US$17.6 billion deal. This will include the assumption of US$11.9 billion of Caesars’ outstanding debt.

The agreement, announced overnight, will see Caesars shareholders receive US$31.00 in cash for each outstanding Caesars share, representing a 49% premium over Caesars’ unaffected share price as of 25 February 2026 – the last trading day before rumors of a potential transaction first began circulating – and a 46% premium over the unaffected 30-day Volume-Weighted Average Price as of the same date.

According to information from Fertitta Entertainment, the transaction will be financed through a combination of equity contributed by Fertitta Entertainment, assumed Caesars’ debt and new committed debt financing arranged by a group consisting of 10 banks.

It remains subject to approval by Caesars shareholders and regulators. A “go-shop” remains in place until 11 July 2026 during which time Caesars and its financial and legal advisors may solicit, consider and negotiate alternative acquisition proposals from third parties.

Fertitta Entertainment’s existing assets include the Golden Nugget brand, which operates casinos in seven US cities including Las Vegas and Atlantic City, NBA franchise the Houston Rockets and more than 450 restaurants globally. Tilman Fertitta is also the largest individual shareholder in Wynn Resorts with a 12.3% stake.

By acquiring Caesars, the group will add, among other assets, Caesars’ eight Las Vegas casinos: Caesars Palace, Harrah’s, Paris Las Vegas, Planet Hollywood, Horseshoe, The LINQ Hotel, Flamingo and The Cromwell.

In an investor note, Truist Securities observed that the combined entity will offer a “large, diversified offering to customers” including 60 domestic casino resorts, iGaming, retail sports betting at over 200 third-party locations through the William Hill brand and over 550 Fertitta Entertainment outlets including over 450 Landry’s restaurants.

“Additionally, the combination of the company’s loyalty programs will have an expanded footprint across the country enabling members access across LV to smaller regional markets,” said Truist analyst Barry Jonas.

Chad Beynon, Senior Gaming, Lodging & Theatres Analyst at Macquarie, suggested that the newly combined entity could look to optimize its expanded portfolio post-close, including potential asset sales or divestitures – particularly within overlapping regional or non-core segments – to drive deleveraging and returns.

It could also act as a catalyst for broader M&A across the regional gaming landscape as operators reassess scale, portfolio mix and capital allocation in light of a take-private clearing price for a major platform asset, he added.

Fertitta Entertainment confirmed that it expects the leadership teams of both companies are all expected to remain in their current roles and continue to lead the combined companies’ operations.
